Terms of Service
These Terms of Service govern the use of the website and services provided by VertaStack. By accessing the site, you agree to these terms.
1. Definitions
"VertaStack", "we", "us" means VertaStack and its staff. "Client", "you" means the person or organisation using our products or services. "Products" means the Verta Family software, including VertaStream and VertaPilot, licensed on a subscription basis. "Services" means implementation, integration, migration and support work delivered around those products.
2. Scope
VertaStack licenses the Verta Family products and delivers the implementation, integration, migration and support work around them. Subscriptions run for the agreed term; project work is defined in a separate statement of work or quotation.
3. Client Obligations
As our client, you agree to:
- Provide accurate and timely information necessary for project execution
- Provide feedback within agreed timeframes
- Not use the services for illegal purposes
- Make payments according to the agreed schedule
- Maintain the confidentiality of your account access credentials
- Comply with all applicable laws and regulations
4. Payment and invoicing
Payment terms are set in the individual quotation or contract. Unless agreed otherwise, invoices fall due 14 days from issue. On late payment we send a written reminder and allow a further 14 days. Suspension of a service is possible only after that period, only for services outside production, and never for amounts the client has disputed in writing.
5. Intellectual property
VertaStack retains all rights in the Verta Family products, their source code and their documentation, and grants the client a non-exclusive right to use them for the term of the subscription. Client-specific configuration, data and any custom code written exclusively for the client transfer to the client upon full payment. VertaStack remains free to reuse general components, libraries and tools developed in the course of a project.
6. Confidentiality
Both parties agree to keep confidential all sensitive business information shared during the collaboration. This obligation remains in effect even after the termination of the contractual relationship.
7. Availability, support and liability
Support levels, response times and target availability are set in a separate support agreement and form part of our contractual obligations rather than an intention. The response times published on this site are for taking up a case, not for closing it. Target availability excludes planned maintenance, which is announced in advance, and outages in third-party systems. Our liability is limited to the amount paid for the service in question over the preceding twelve months.
8. Termination
Either party may terminate with 30 days written notice. On termination the client receives the source code specific to them, their data in a usable format, the documentation, and access to the environments and domains we hold on their behalf. The licence to the Verta Family products ends with the subscription, but the data and the work the client paid for remain theirs. On request we hand the environment over to another supplier at our hourly rate.
9. Force Majeure
Neither party shall be liable for failure to perform caused by circumstances beyond their control, including natural disasters, wars, government actions, or disruptions to internet infrastructure.
10. Governing Law
These terms are governed by the laws of the Republic of Bulgaria. All disputes shall be resolved by the competent court in Plovdiv, Bulgaria.
11. Changes to Terms
VertaStack may amend these terms. Material changes are notified to active clients in writing at least 30 days before they take effect and published here with a new date. A client who does not accept a material change may terminate the affected subscription before the effective date, without penalty and with a refund of any prepaid amount for the unused period. Non-material changes, such as corrections and clarifications, take effect on publication.

13. Processing of client data
Where our products process a client’s operational data, VertaStack acts as processor and the client remains controller. We process only on their instructions and for the term of the agreement. The list of sub-processors, the storage locations and the security measures are provided in writing before work begins and updated on any change. On termination the data is returned or deleted at the client’s choice.
